Terms of Service

1. Acceptance of Terms

By accessing, using, or registering for the Clarix AI platform ("Platform"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and Clarix AI, a company incorporated under the laws of Ontario, Canada ("Clarix AI," "we," "us," or "our"). If you do not agree to these Terms, you must immediately cease using our Platform.

By clicking "I Agree," creating an account, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

Clarix AI operates an AI-powered recruitment platform that connects job seekers with employers through advanced skills-based matching technology. Our Platform is designed to create meaningful employment connections by leveraging artificial intelligence to match candidates with suitable opportunities based on their skills, experience, and career preferences.

Core Services Include:

  • AI-powered job matching and personalized recommendations
  • Comprehensive skills assessment and profile creation tools
  • Employer job posting and candidate sourcing capabilities
  • Career guidance, market insights, and salary predictions
  • User profile management and data processing services

3. User Accounts and Eligibility

Age Requirement

You must be at least 18 years old to use our Platform. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement. We may request proof of age verification at any time.

Account Registration

To access certain features, you must create an account by providing accurate, complete, and current information. You agree to:

  • Provide truthful and accurate information during registration
  • Maintain and update your account information
  • Choose a unique username and password
  • Notify us immediately of any unauthorized use of your account

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized access or security breach.

4. User Responsibilities and Conduct

As a user of our Platform, you agree to:

  • Provide accurate, complete, and truthful information in your profile
  • Keep your profile information current and up to date
  • Use the Platform in compliance with all applicable Canadian federal, provincial, and local laws and regulations
  • Respect the rights, privacy, and dignity of other users
  • Maintain professional conduct in all interactions
  • Not engage in discriminatory practices based on protected characteristics
  • Comply with all employment standards and human rights legislation
  • Report any suspicious or inappropriate behavior

5. Job Seeker Services

Profile Creation and Management

Job seekers can create comprehensive profiles including skills, experience, education, and career preferences. Our AI algorithms analyze this information to provide personalized job recommendations and career insights.

Matching Process

Our AI-powered matching system evaluates your profile against available opportunities, considering factors such as skills alignment, experience level, location preferences, and career goals. Match scores are generated to help you prioritize opportunities.

Career Services

  • Personalized career guidance and recommendations
  • Market salary insights and compensation predictions
  • Skills gap analysis and development suggestions
  • Industry trends and career path guidance
  • Interview preparation and career coaching resources

Communication Tools

Job seekers can communicate with potential employers through our secure messaging system, schedule interviews, and receive updates on application status.

6. Employer Services

Job Postings and Requirements

Employers can post job opportunities and must ensure that all job postings are:

  • Accurate, complete, and current
  • Compliant with all applicable employment laws and human rights legislation
  • Non-discriminatory and inclusive
  • Free from misleading or false information
  • Respectful of candidates' privacy and dignity

Candidate Sourcing and Interaction

Employers must comply with all applicable employment laws and regulations when interacting with candidates, including:

  • Canadian Human Rights Act
  • Provincial human rights legislation
  • Employment standards legislation
  • Privacy legislation (PIPEDA and provincial equivalents)
  • Accessibility requirements

Equal Opportunity Employment

All employers using our Platform must commit to equal opportunity employment practices and may not discriminate based on race, color, religion, sex, sexual orientation, gender identity, national origin, disability, age, or other protected characteristics as defined by Canadian law.

7. Data Usage, Privacy, and PIPEDA Compliance

Data Collection and Processing

By using our Platform, you consent to our collection, use, and processing of your personal information as described in our Privacy Policy. This includes:

  • Profile information and career preferences
  • Skills assessments and performance data
  • Communication records and interaction history
  • Usage analytics and Platform behavior data
  • Device and technical information

AI Algorithm Improvement

We use aggregated and anonymized data to continuously improve our AI matching algorithms, enhance user experience, and provide better matching services. This includes analyzing successful matches, user feedback, and Platform usage patterns.

PIPEDA Compliance

We are committed to compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. We implement appropriate safeguards for personal information and respect your privacy rights, including:

  • Obtaining meaningful consent for data collection and use
  • Limiting collection to what is necessary for our services
  • Ensuring accuracy of personal information
  • Implementing appropriate security measures
  • Providing access to your personal information upon request
  • Allowing you to challenge compliance with these principles

Data Security and Breach Notification

We implement industry-standard security measures to protect your personal information. In the event of a data breach that poses a real risk of significant harm, we will notify affected individuals and relevant authorities as required by Canadian privacy legislation.

8. AI Services, Limitations, and Bias Prevention

AI-Powered Matching Technology

Our AI algorithms analyze multiple factors to create job matches and recommendations, including skills, experience, education, location, and career preferences. The system uses machine learning to continuously improve matching accuracy based on successful placements and user feedback.

Service Limitations

Our AI-powered matching and recommendation services are provided "as is." While we strive for accuracy and fairness, we do not guarantee:

  • Perfect job matches or specific hiring outcomes
  • Accuracy of salary predictions or market insights
  • Elimination of all bias in recommendations
  • Specific employment results or job placement
  • Compatibility with all career goals or preferences

Bias Prevention and Fairness Commitment

We are committed to developing and maintaining fair, unbiased AI systems. Our efforts include:

  • Regular auditing of AI algorithms for potential bias
  • Diverse training data to reduce algorithmic discrimination
  • Ongoing monitoring of matching outcomes across different demographic groups

  • Transparency in our matching criteria and processes

User Responsibility

Users acknowledge that AI recommendations are tools to assist in decision-making and should not be the sole basis for employment decisions. Final hiring decisions remain the responsibility of employers, and job seekers should evaluate opportunities based on their own criteria and judgment.

9. Prohibited Activities and Enforcement

You may not use our Platform to:

  • Misrepresent your identity, qualifications, or employment history
  • Send spam, unsolicited communications, or commercial messages
  • Engage in discriminatory hiring practices or harassment
  • Attempt to reverse engineer, decompile, or access our AI systems
  • Violate any applicable laws, regulations, or third-party rights
  • Post false, misleading, or fraudulent job opportunities
  • Collect or harvest personal information from other users
  • Circumvent Platform security measures or access controls
  • Interfere with Platform operations or other users' experiences

Enforcement

We reserve the right to investigate violations, suspend or terminate accounts, and cooperate with law enforcement authorities. We may also remove content that violates these Terms without prior notice.

10. Intellectual Property Rights

Platform Ownership

The Clarix AI Platform, including all content, features, functionality, software, algorithms, and technology, is owned by Clarix AI and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

User-Generated Content

You retain ownership of the content you create and upload to our Platform, including your profile information, resumes, and communications. However, by using our Platform, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute your content for the purpose of providing our services.

Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use our Platform content without our express written permission.

11. Payment Terms and Billing

Free Services

Our basic services are free for job seekers, including profile creation, job matching, and basic communication tools.

Premium Services

Employers and some advanced features may require paid subscriptions. Payment terms include:

  • All fees are in Canadian dollars (CAD) unless otherwise specified
  • Subscription fees are billed in advance on a monthly or annual basis
  • Fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • Automatic renewal unless cancelled before the next billing cycle

Taxes

All fees are exclusive of applicable taxes, including GST/HST, which will be added where required by law.

12. Platform Availability and Technical Support

Service Availability

We strive to maintain 99.5% Platform availability but do not guarantee uninterrupted service. We may perform scheduled maintenance, updates, or emergency repairs that temporarily affect service availability.

Technical Support

We provide technical support through our help center, email, and chat support during business hours (Monday-Friday, 9 AM - 6 PM EST).

Force Majeure

We are not liable for service interruptions caused by events beyond our reasonable control, including natural disasters, government actions, or third-party service failures.

13. Limitation of Liability and Disclaimers

Limitation of Liability

To the maximum extent permitted by law, Clarix AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Platform. Our total liability for any claim is limited to the amount paid by you for our services in the 12 months preceding the claim.

Disclaimers

Our Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

User Responsibility

Users are responsible for their own employment decisions and acknowledge that our Platform provides tools and information to assist in decision-making but does not guarantee employment outcomes.

14. Account Termination

Termination by You

You may terminate your account at any time by:

  • Deleting your account through your account settings
  • Contacting our support team
  • Sending a written request to our legal department

Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Privacy Policy
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our Platform or other users
  • Fail to pay required fees (for premium services)

Effect of Termination

Upon termination, your right to use our Platform ceases immediately. We may delete your account and data according to our data retention policies, subject to legal requirements.

15. Dispute Resolution and Governing Law

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Jurisdiction

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. You consent to the jurisdiction of such courts and waive any objection to venue.

Dispute Resolution Process

Before initiating formal legal proceedings, you agree to:

  • Contact our legal department to attempt resolution
  • Participate in good faith negotiations for 30 days
  • Consider mediation through a mutually agreed mediator

Arbitration

If informal resolution fails, disputes may be resolved through binding arbitration under the rules of the Ontario Arbitration Act, unless prohibited by law. Each party will bear their own costs unless otherwise awarded by the arbitrator.

16. Updates to Terms

Modification Rights

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated through:

  • Email notification to your registered email address
  • Prominent notice on our Platform
  • In-app notifications

Effective Date

Updated Terms become effective 30 days after notification for material changes, or immediately for minor changes or legal compliance updates.

Continued Use

Your continued use of our Platform after the effective date constitutes acceptance of the updated Terms. If you disagree with changes, you may terminate your account.

Legal Notices

All legal notices should be sent to the address above or to legal@clarix-ai.com. Notices are deemed received when acknowledged by our legal department.

18. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clarix AI regarding your use of our Platform.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Assignment

We may assign these Terms without notice. You may not assign your rights or obligations under these Terms without our written consent.

Survival

Provisions that by their nature should survive termination (including liability limitations, intellectual property rights, and dispute resolution) will continue after termination.

Language

These Terms are written in English. Any translations are provided for convenience only, and the English version prevails in case of conflicts.
